Terms of Service

1. Acceptance of Terms

By accessing or using the Tippium platform, website (www.tippium.com), mobile applications, APIs, or any related services (collectively, the “Platform”), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service (“Terms”), our Privacy Policy, and all applicable laws and regulations.

If you do not agree to these Terms, you must immediately cease all use of the Platform. Your continued use of the Platform following the posting of any changes to these Terms constitutes acceptance of those changes.

These Terms are entered into between you (“User,” “you,” or “your”) and Eveneon LLC, a limited liability company organized under the laws of the State of Wyoming, United States, with its registered address at 1712 Pioneer Ave, Suite 500, Cheyenne, WY 82001, USA (“Tippium,” “we,” “us,” or “our”).

2. Eligibility

To use the Platform, you must:

• Be at least eighteen (18) years of age, or the age of legal majority in your jurisdiction, whichever is greater.
• Reside in a jurisdiction where accessing sports betting analysis and prediction content is not prohibited by applicable law.
• Have the legal capacity and authority to enter into a binding agreement.
• Not be a person barred from receiving services under the laws of the United States, the European Union, or any other applicable jurisdiction.
• Comply with all local, state, national, and international laws and regulations regarding online gambling, sports betting, and the use of prediction or analysis services.

By using the Platform, you represent and warrant that you meet all eligibility requirements. Tippium reserves the right to verify your eligibility at any time and to refuse or terminate service if these requirements are not met.

3. Description of Service

Tippium is an intermediary platform that connects sports prediction analysts (“Tipsters”) with users who wish to subscribe to their analysis and predictions (“Subscribers”). The Platform facilitates the discovery, subscription, and payment processes between Tipsters and Subscribers.

Any decision to place a bet or wager based on content obtained through the Platform is made entirely at your own discretion and risk. The Platform is an information marketplace, not a betting operator, financial advisor, or licensed gambling establishment.

4. User Accounts

4.1 Registration

To access certain features of the Platform, you must create an account. When registering, you agree to provide accurate, current, and complete information and to update such information to keep it accurate, current, and complete.

4.2 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials, including your password. You agree to immediately notify Tippium of any unauthorized use of your account or any other breach of security. Tippium will not be liable for any loss arising from your failure to safeguard your account information.

4.3 Account Accuracy

You may not create more than one account, impersonate any person, or use false information. You may not use another person's account without their permission. Tippium reserves the right to suspend or terminate accounts that contain inaccurate, fraudulent, or misleading information.

4.4 Account Responsibility

You are fully responsible for all activities that occur under your account, whether or not authorized by you. You agree not to sell, transfer, license, or assign your account to any third party.

5. Tipster Accounts

5.1 Tipster Responsibilities

If you register as a Tipster, you agree to provide predictions and analysis based on your genuine expertise and research. You represent that all content you publish on the Platform is your original work and does not infringe upon the intellectual property rights of any third party.

5.2 Content Standards

As a Tipster, you agree that your published content must:

• Be truthful and not deliberately misleading regarding your track record, expertise, or expected outcomes.
• Not guarantee any specific results, profits, or winnings.
• Not contain hate speech, harassment, illegal content, or content that violates the rights of others.
• Comply with all applicable laws and regulations, including advertising and consumer protection standards.
• Not promote or facilitate match-fixing, insider information abuse, or any illegal activity.

5.3 Payout Terms

Tipsters are compensated through subscription revenue generated via the Platform. Payouts are subject to the following conditions:

• Tippium retains a platform commission from each subscription payment. The applicable commission rate is disclosed in the Tipster dashboard.
• Payouts are processed via Stripe Connect. Tipsters must maintain a valid, verified Stripe account to receive payments.
• Payout schedules, minimum thresholds, and currency conversion policies are detailed in the Tipster dashboard and may be updated from time to time.
• Tippium reserves the right to withhold or delay payouts in cases of suspected fraud, Terms violations, or pending dispute resolution.
• Tipsters are solely responsible for reporting and paying all applicable taxes on income earned through the Platform.

5.4 Tipster Verification

Tippium may, at its sole discretion, implement identity verification or performance auditing procedures for Tipsters. Failure to comply with verification requests may result in account suspension or termination.

6. Subscriber and User Responsibilities

As a Subscriber or general user of the Platform, you acknowledge and agree that:

• You are solely responsible for any decisions you make based on information obtained through the Platform, including any bets, wagers, or financial decisions.
• Past performance of any Tipster is not indicative of future results. There is no guarantee that any Tipster's predictions will be accurate or profitable.
• You should only bet with money you can afford to lose. Sports betting involves inherent financial risk.
• You will not hold Tippium responsible for any losses incurred from acting on Tipster content.
• You will comply with all laws applicable to you regarding sports betting and gambling in your jurisdiction.
• You will not redistribute, resell, or share subscription content obtained through the Platform without the express written consent of the Tipster and Tippium.
• You will use the Platform in good faith and will not attempt to manipulate, exploit, or abuse any features, promotions, or systems.

If you believe you may have a gambling problem, we encourage you to seek help through organizations such as the National Council on Problem Gambling (www.ncpgambling.org) or equivalent resources in your jurisdiction.

7. Subscriptions and Payments

7.1 Payment Processing

All payments on the Platform are processed through Stripe, a third-party payment processor. By making a purchase, you agree to Stripe's terms of service and privacy policy. Tippium does not store your full credit card or payment details on its servers.

7.2 Subscription Plans and Auto-Renewal

Subscriptions to Tipster services are offered on a recurring basis (e.g., monthly, quarterly, or annually, as set by each Tipster). By subscribing, you authorize Tippium and Stripe to charge your designated payment method on a recurring basis at the then-current subscription rate. Subscriptions auto-renew unless you cancel before the end of the current billing cycle. You may cancel your subscription at any time through your account settings.

7.3 Pricing and Currency

All prices are displayed in the currency specified on the Platform. Tippium reserves the right to change pricing at any time. Any price changes will take effect at the start of your next billing cycle following notice of the change.

7.4 Refund Policy

Due to the nature of digital content and information services:

• No refunds will be issued for subscription periods that have already commenced, except where required by applicable law (including, for EU consumers, the statutory right of withdrawal under the Consumer Rights Directive where applicable).
• Upon cancellation, you retain access to the subscription content until the end of the current billing period.
• Refund requests based on Tipster performance or prediction accuracy will not be honored. As stated in Section 3, Tippium does not guarantee any outcomes.
• If you are an EU consumer and have not yet accessed the digital content, you may have a right of withdrawal within 14 days of purchase in accordance with Directive 2011/83/EU (the Consumer Rights Directive). By accessing the content, you expressly consent to waive your right of withdrawal.

7.5 Failed Payments

If a recurring payment fails, Tippium may attempt to charge your payment method again. If payment cannot be collected after reasonable attempts, your subscription may be suspended or terminated. Tippium is not responsible for any fees or charges imposed by your bank or payment provider.

8. Intellectual Property

8.1 Platform Ownership

All intellectual property rights in and to the Platform, including but not limited to the website design, source code, software, graphics, logos, trademarks, service marks, trade names, text, and images (collectively, “Platform Content”) are owned by or licensed to Eveneon LLC. You may not copy, reproduce, distribute, modify, create derivative works from, publicly display, or otherwise exploit any Platform Content without our prior written consent.

8.2 Tipster Content

Tipsters retain ownership of the content they create and publish on the Platform. By publishing content on Tippium, Tipsters grant Tippium a non-exclusive, worldwide, royalty-free license to host, display, distribute, and promote such content in connection with the operation and marketing of the Platform.

8.3 User Content

Any content you submit, post, or transmit through the Platform (such as reviews or comments) grants Tippium a non-exclusive, perpetual, irrevocable, worldwide, royalty-free license to use, reproduce, modify, and display such content in connection with the Platform. You represent that you have the right to grant this license.

9. Prohibited Conduct

You agree not to engage in any of the following activities:

• Using the Platform for any illegal purpose or in violation of any applicable law or regulation.
• Distributing, sharing, or reselling subscription content to non-subscribers.
• Creating fake accounts, manipulating Tipster ratings or statistics, or engaging in any form of fraud.
• Attempting to gain unauthorized access to the Platform, other user accounts, or any associated computer systems or networks.
• Introducing viruses, trojans, worms, malware, or other harmful code to the Platform.
• Using automated tools, bots, scrapers, or similar technologies to access or extract data from the Platform without prior written consent.
• Reverse engineering, decompiling, or disassembling any part of the Platform.
• Harassing, threatening, or abusing other users or Tipsters.
• Promoting match-fixing, insider trading of sports information, or any other illegal betting activity.
• Circumventing or attempting to circumvent any access control, payment, or security features of the Platform.
• Using the Platform in a manner that could overload, damage, disable, or impair the Platform or interfere with other users' access.
• Impersonating any person or entity, or falsely stating or misrepresenting your affiliation with a person or entity.

10. Disclaimers and Limitation of Liability

10.7 Third-Party Content

The Platform may contain links to third-party websites, services, or content. Tippium does not control, endorse, or assume responsibility for any third-party content, products, or services. Your interaction with third-party services is governed by their respective terms and policies.

11. Indemnification

You agree to indemnify, defend, and hold harmless Tippium, Eveneon LLC, and their respective officers, directors, employees, agents, affiliates, successors, and assigns (collectively, the “Indemnified Parties”) from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or relating to:

• Your use or misuse of the Platform.
• Your violation of these Terms or any applicable law or regulation.
• Your violation of any rights of a third party, including intellectual property, privacy, or publicity rights.
• Any content you submit, post, or transmit through the Platform.
• Any betting, wagering, or financial decisions you make based on content obtained through the Platform.

12. Dispute Resolution

12.1 Informal Resolution

Before initiating any formal dispute resolution proceeding, you agree to first contact Tippium at legal@tippium.com and attempt to resolve the dispute informally for at least thirty (30) days.

12.2 Binding Arbitration

If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Platform shall be resolved by binding arbitration administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules. The arbitration shall take place in Cheyenne, Wyoming, United States, or at another mutually agreed location, or remotely via videoconference.

12.3 Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You waive any right to participate in a class action lawsuit or class-wide arbitration against Tippium.

12.4 Exceptions

Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights. Small claims court actions are also exempt from the arbitration requirement.

12.5 EU Consumers

If you are a consumer residing in the European Union, the arbitration provisions in this section shall not deprive you of any mandatory consumer protection rights under the laws of your country of residence. You may also have the right to bring proceedings before the courts of your country of residence. Additionally, you may use the European Commission's Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of laws principles.

For users residing in the European Union, these Terms shall not affect the application of any mandatory consumer protection laws of your country of residence to the extent that such laws provide a higher level of protection. In particular, Regulation (EU) 2019/1150 (Platform-to-Business Regulation) and the Digital Services Act (Regulation (EU) 2022/2065) shall apply where applicable.

To the extent that any proceeding is permitted to be brought in court (rather than arbitration), the exclusive jurisdiction and venue shall be the state and federal courts located in Laramie County, Wyoming, United States, except where mandatory consumer protection laws grant EU consumers the right to bring proceedings in their country of residence.

14. GDPR Compliance and Data Protection

For users residing in the European Economic Area (EEA), United Kingdom, or Switzerland, Tippium processes personal data in accordance with the General Data Protection Regulation (Regulation (EU) 2016/679) (“GDPR”) and applicable national data protection legislation. Our full data processing practices are described in our Privacy Policy.

14.1 Your Data Rights

Under the GDPR and applicable data protection laws, you have the right to:

• Access — Request a copy of the personal data we hold about you.
• Rectification — Request correction of inaccurate or incomplete personal data.
• Erasure — Request deletion of your personal data (subject to legal retention obligations).
• Restriction — Request restriction of processing of your personal data.
• Portability — Request transfer of your personal data in a structured, commonly used, machine-readable format.
• Objection — Object to the processing of your personal data for direct marketing or on grounds relating to your particular situation.
• Withdraw Consent — Where processing is based on consent, withdraw your consent at any time without affecting the lawfulness of prior processing.

14.2 Data Transfers

As Tippium is based in the United States, personal data may be transferred to and processed in the United States. We ensure appropriate safeguards are in place for such transfers, including Standard Contractual Clauses (SCCs) as approved by the European Commission, or other lawful transfer mechanisms under the GDPR.

14.3 Data Protection Contact

To exercise any of your data protection rights, or if you have questions regarding our data processing practices, please contact us at legal@tippium.com. You also have the right to lodge a complaint with your local data protection supervisory authority.

15. Termination

15.1 Termination by You

You may terminate your account at any time by contacting us or using the account deletion feature in your account settings. Upon termination, your right to use the Platform ceases immediately. Any active subscriptions will continue until the end of the current billing period but will not renew.

15.2 Termination by Tippium

Tippium reserves the right to suspend or terminate your account and access to the Platform at any time, with or without cause or notice, including but not limited to violations of these Terms, suspected fraud, or conduct that Tippium, in its sole discretion, deems harmful to other users, Tipsters, third parties, or the business interests of Tippium.

15.3 Effect of Termination

Upon termination, the following sections of these Terms shall survive: Intellectual Property (Section 8), Disclaimers and Limitation of Liability (Section 10), Indemnification (Section 11), Dispute Resolution (Section 12), Governing Law (Section 13), and any other provision that by its nature should survive termination.

16. Force Majeure

Tippium shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond Tippium's reasonable control, including but not limited to: acts of God, natural disasters, pandemics, epidemics, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, flood, earthquakes, strikes, power outages, internet or telecommunications failures, cyberattacks, or failures of third-party service providers (including payment processors). In such events, Tippium's obligations shall be suspended for the duration of the force majeure event.

17. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, severed from these Terms. The invalidity or unenforceability of any provision shall not affect the validity or enforceability of the remaining provisions, which shall continue in full force and effect. The failure of Tippium to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

18. Changes to Terms

Tippium reserves the right to modify, amend, or update these Terms at any time at its sole discretion. When we make material changes, we will:

• Update the “Last Updated” date at the top of these Terms.
• Provide reasonable notice via email notification, in-app notification, or a prominent notice on the Platform.
• For EU users, provide at least 15 days' advance notice of material changes in accordance with applicable regulations.

Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree with the updated Terms, you must stop using the Platform and terminate your account.

19. Miscellaneous

19.1 Entire Agreement

These Terms, together with the Privacy Policy and any other legal notices or agreements published by Tippium on the Platform, constitute the entire agreement between you and Tippium concerning your use of the Platform and supersede all prior agreements, understandings, and communications, whether written or oral.

19.2 Assignment

You may not assign or transfer your rights or obligations under these Terms without the prior written consent of Tippium. Tippium may assign its rights and obligations under these Terms at any time without notice or consent, including in connection with a merger, acquisition, or sale of assets.

19.3 No Waiver

The failure of Tippium to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by Tippium.

19.4 Headings

The section headings used in these Terms are for convenience only and shall not affect the interpretation of any provision.
